Terms of use

Before you begin registration on this site you must first read and agree with the clauses of this document. If you disagree with at least one clause, you should not use the site and leave it immediately.

You shall not download audio and video files from Skyshare Network via "Skyshare Manager" software ("Software") if the Terms are in conflict with the laws of your country of residence. MP3xclusive.com shall not control actions of its users and the latter bear the sole responsibility for any illegal use.

The present agreement ("Agreement") is a contract concluded between you and MP3xclusive.com administration (the "Administration"), which stipulates your rights and duties on the Site, and sets the framework for the use of services provided by the MP3xclusive.com system. By continuing browsing the site (registration on this site) you confirm that:

• You have read and understood the present Agreement in full
• You agree with all the clauses of the present Agreement.

Note

Administration reserves the right to change, amend, and supplement the present Agreement from time to time. The Administration undertakes to notify You of all changes to the present Agreement. In case You discover that You disagree with at least one clause of the changed Agreement, You are to stop Your registration on the Site immediately and leave it.

Services provided by MP3xclusive.com

MP3xclusive is search index archive on a basis of data, provided by Skyshare Network, with a convenient browsing capabilities. Site materials are provided "as is" for informative purposes, with an extremely high relevance to Skyshare content. Mp3xclusive.com offers "Skyshare Manager" software - property of Skyshare Network - for getting access to the content, provided by Skyshare Network and indexed on the Site. MP3xclusive.com is granted with license and permission to retail "Skyshare Manager" software on behalf of Skyshare Network under affiliation conditions. To acquire access to "Skyshare Manager", each user must register. Unregistered users have limited access to the Services - they can only use look through index pages on MP3xclusive.com

Registration with MP3xclusive.com

User must register to acquire full access to MP3xclusive.com Services. During registration every user provides to the Site Administration certain personal data such as e-mail address, nickname, as well as data necessary for making payments to the Site (see the "Using MP3xclusive.com Service" clause below). After successful registration each user obtains unique login e-mail and entrance password in order to use the Site and interacting with Administration.

While undergoing registration on the Site, You are to submit only true and accurate personal data. The Site Administration undertakes not to use data received during registration for selfish ends and not to disclose it to whatever third-parties. You undertake not to pass Your login and password to other people under no pretext. The owner of personal account bears all responsibility for damage, caused to smb./smth as a result of registered user's passing the MP3xclusive.com access data to the third person.
Any user registered on the Site has a possibility to suspend registration at any moment and stop being a user of Services. If the user suspends registration, he is not able to return the personal account balance. No other funds are returned and no losses are recovered.

Using MP3xclusive.com Service

1. Skyshare Manager

User must be registered to acquire access to and possibility to use "Skyshare Manager" software. Software is API-based application, developed in Java(TM) environment and thus compatible with both Windows and MacOS systems. If You are PC user, you must have Java(TM) platform installed for the proper operational of the Software (You are provided with full guide on how to do this). Software is free but with limited access (e.g. you can browse the Skyshare Network content, but unable to download files), full access to the Network and to files requires activation. Activation is done by online payment via MP3xclusive.com website, it is instant and automatic. Upon successful payment You receive virtual traffic credit (balance) and You can start using full functionality of Software (e.g. downloading files) immediately. Software will charge Your balance (which is equivalent of traffic) for each download (as set in tariffs of Skyshare Network system).

2. Service Payment

Usage of MP3xclusive.com Services is possible only in case of observing the rules set by the MP3xclusive.com Administration and displayed on MP3xclusive.com.
MP3xclusive.com provide chargeable Activation of "Skyshare Manager" software on behalf of exclusive software owner. While trial version of the Software is free for use, it is limited to only browsing through the content provided by Skyshare Network. In order to acquire full Software functionality users must activate Software, i.e. pay for Services before the Services are provided (prepayment) according to rules and tariffs, set by the Administration (please refer to "Skyshare Manager" software guide section for more details about tariffs: http://skyshare-manager.com/. You are to pay for all kinds of Services in full. The Administration undertakes not to introduce retroactive changes in payment rules and not to make any additional charges not mentioned in the rules. At the same time, the Administration reserves the right from time to time to introduce changes in the Service payment rules and change tariffs. While you fulfil payment for Services provided, the Administration has the right to request additional information on details of the financial operation in order to determine true identity of the payment means owner. This additional security measure should not trouble MP3xclusive.com clients, since it is taken for their benefit.

3. Reversing Funds

Under the current Agreement, you confirm that you will not claim order refund/reverse for "Skyshare Manager" activation. Site administration, however, grants You with 48 hours from purchase/activation date to claim refund/reverse if at least one of the following conditions is met:

• Your system/platform appears to be completely inoperative with the Software, after You have followed the installation Guide in full (as set in Software Guide);
• Software was unable to deliver requested content (which was initially indexed at MP3xclusive.com) for You in a 48 hours timeframe, and Site operators were unable to fix the downloads per your request within reasonable timeframe (e.g. within 48 hours).

Under this Agreement You confirm that in no other cases you will claim for refund/reverse of Your activation/purchase if you have spent any amount of activated traffic on any downloads via "Skyshare Manager".


Hardware and Software Use

All software, used and provided on the Site, is the property of the manufacturer (copyright holder) and is protected by local and international legislation on intellectual propriety and copyright protection.
The MP3xclusive.com Administration is not held liable for the quality of communication channel you use, and, thus, is not responsible for financial or other damage inflicted on you due to the use of low-quality communication channels.

The Site Materials Use

You are not to use data received through the Services for unlawful purposes. The Site Administration is not held liable for possible use of information received on the Site for the purposes prohibited by legislation or infringing copyright. You are responsible for unlawful or unauthorized use of any Site materials.


All trade marks, trade names, company names, slogans, logos, and any other copyright items which can be seen on the Site pages in various contexts are the property of their respective owners. You have no right to copy, distribute or otherwise use them without the prior written consent of the owners. If the Site contains links to other sites, they are provided for your convenience only. You agree that the Administration is not to be held liable for their operability, content or possible damage resulting from using them.

You agree with the fact that you use the Services provided by MP3xclusive.com at your own risk and on your personal consent. All the Services are provided "as is" without any guarantee obligations on the part of the Administration (apart from mentioned above). The Administration does not give you any guarantee that you will profit or benefit by the use of the Services. You agree NOT to appeal to the Administration on account of the quality of the Services provided, as well as on account of any possible damage you experience as a result of use of or access to MP3xclusive.com Services.
